Further to the announcement made on 28 April 2010, Rubicon Software Group plc ("Rubicon" or "the Company") a leading provider of enterprise class CRM, xRM and Microsoft SharePoint collaboration solutions, announces that the special resolution empowering the directors to issue shares and warrants in accordance with the re-financing agreement, was duly passed at a General Meeting held on 24^th May 2010.

Accordingly, the re-financing can now be completed and the new ordinary shares are expected to be admitted to AIM on 1^st June 2010.
